Terms of Use

These Terms of Use (“Terms” or “TOU”) govern access to and use of the en.dataroom.co.il website, including all services, content and platforms related thereto (collectively, the “Site”). By using or visiting the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional terms that may apply to certain services or features.

If you do not accept these Terms, you must immediately discontinue use of the Site. en.dataroom.co.il reserves the right, at its sole discretion, to change or update the Terms at any time by posting the updated version on this page. Your continued use of the Site after the posting of updates indicates your agreement to the revised Terms. It is your responsibility to check the Terms regularly for changes.

Some services or areas of the Site may be subject to additional terms, which are incorporated into these Terms by reference. These Terms do not apply to en.dataroom.co.il products or services which are subject to separate customer agreements.

By accessing the Site, you represent that you have the legal capacity to enter into a binding agreement for yourself, or that you are authorized to bind any organization to these Terms. You also agree to comply with all local, national and international laws and regulations applicable to your use of the Site.

The use of capital letters in certain parts is intentional: by visiting, navigating or using the Site and its related services, you acknowledge and agree to be bound by these Terms and any applicable Supplemental Terms.

  • “Contributor Material” : Any post, content or material submitted by you in various areas of the Site.
  • “Site Content” : includes all text, images, graphics, audio, video, data and other materials appearing or available on en.dataroom.co.il or through third-party providers.
  • “External Resources” : Any links or references on the site that lead to external sites or other resources.

2. Website contents and use

2.1 Permitted use

You may view, download and make personal, non-commercial use of the site’s content, provided that you meet the following requirements:

  1. You may not reproduce, distribute, publish, license or otherwise exploit the contents of the site without prior written permission from en.dataroom.co.il.
  2. You may not modify, adapt, translate, reverse engineer, decompile, or create derivative works based on any part of the Site or its content.

2.2 Prohibited actions

Without derogating from the foregoing, you agree to refrain from or facilitate the following actions:

  3. Tampering with or circumventing the security measures on the site, or mechanisms designed to prevent unauthorized use or copying of the site’s content.
  4. Incorporating the site’s contents, in whole or in part, into any product or service for commercial purposes without express permission.
  5. Creating excessive load, disruption or interference with the website’s infrastructure or its networks.
  6. Uploading or transmitting illegal, offensive, harassing, defamatory, obscene or objectionable content of any kind.
  7. Inserting destructive code, malicious software, viruses, Trojan horses or other dangerous materials.
  8. Collecting or extracting information from the site or its systems, or intercepting communications to or from the site’s servers.
  9. Impersonating en.dataroom.co.il, its employees, another user or any other person or entity.

en.dataroom.co.il reserves the exclusive right to determine whether the site is being used in violation of these terms, and may take any action it deems appropriate.

3. User-Contributed Content

Any “Contributor Material” you provide to the Site remains your property, but upon submission you grant en.dataroom.co.il a perpetual, unrestricted, royalty-free, transferable and sublicensable license to use, copy, distribute, modify, display and exploit that Content throughout the world, in any format or media. This license also applies to future rights, including new formats or media that may develop in accordance with applicable law. You also grant other users of the Site a non-exclusive right to access and use the Material you have contributed in accordance with these Terms. en.dataroom.co.il reserves the right to remove or reject any User Content that it believes is illegal, inappropriate or violates these Terms.

4. User Responsibilities

By submitting any content to the Site, you represent and warrant that:

  1. You have all rights, permits or authority necessary to publish the Content and grant the licenses set forth in these Terms.
  2. Your content does not violate any law or infringe any third party rights, including intellectual property rights, privacy, or publicity rights.
  3. Your content does not include harmful, illegal, threatening, defamatory, obscene or otherwise objectionable material, nor does it include content that promotes discrimination, hatred or violence.
  4. You will not post unapproved advertising materials, spam, “chain letters” or other forms of solicitation.
  5. You will not upload files that contain viruses or harmful code that may affect software, hardware, or communications equipment.

en.dataroom.co.il has no obligation to monitor content submitted by users, but it may exclusively review whether any materials violate the Terms and take appropriate action.

5. External resources

For the convenience of users, the Site may contain links to third-party websites or services. en.dataroom.co.il does not endorse or control these external websites and is not responsible for any damage or loss resulting from use of or reliance on these third-party resources. Access to and use of external links is at your sole risk, and you must comply with the terms and policies of those external websites.

6. Ownership and feedback

The Site and its contents are owned by en.dataroom.co.il or its licensors and are protected by applicable intellectual property laws. All rights, titles and interests therein remain with en.dataroom.co.il unless expressly stated otherwise. Any feedback, ideas or suggestions you submit to en.dataroom.co.il regarding the Site will be considered non-confidential, and by submitting them you grant en.dataroom.co.il a perpetual, worldwide, royalty-free license to use such feedback without any obligation to you.

7. Security measures

It is prohibited to violate or attempt to violate the security of the site, including actions such as unauthorized access, data theft or disruption of service. These violations may lead to civil and/or criminal proceedings. dataroom.co.il has the right to investigate and cooperate with law enforcement authorities against users involved in such actions, and may take technical or legal measures to prevent security breaches.

8. Disclaimer

All content and services on the site are provided “AS IS” and “AS AVAILABLE”, without any express or implied warranty. EN.DATAROOM.CO.IL expressly disclaims any warranties of merchantability, fitness for a particular purpose, ownership and non-infringement.

EN.DATAROOM.CO.IL does not warrant that the Site will operate uninterrupted, error-free, or completely secure. You bear all risks arising from your use of the Site.

You are solely responsible for ensuring that your use of the Site complies with applicable laws. To the maximum extent permitted by law, EN.DATAROOM.CO.IL shall not be liable for any indirect, incidental, special, punitive or consequential damages, or for any loss of profits, revenue, data or goodwill that may arise from your access to or use of the Site.

9. Indemnity

You agree to indemnify and hold harmless en.dataroom.co.il and its affiliated companies, employees, directors, agents and third party partners (collectively, the “Indemnified Parties”) from and against any and all claims, damages, costs and liabilities (including reasonable attorneys’ fees) arising from:

  1. Your use of the Site in a manner that violates these Terms;
  2. Your breach of these Terms;
  3. Your violation of third party rights, including intellectual property or privacy rights.

en.dataroom.co.il has the right to exclusively assume the defense and control of any claim subject to indemnification, at your expense, and you agree to cooperate with en.dataroom.co.il in its defense in such cases. The indemnification obligation will survive any termination or expiration of the Terms and your termination of your use of the Site.

10. Limitation of Liability

To the maximum extent permitted by law, EN.DATAROOM.CO.IL and its affiliated companies, licensors and partners will not be liable for any direct, indirect, incidental, special, consequential, punitive or exemplary damages arising out of your use of or inability to use the Site, even if EN.DATAROOM.CO.IL has been advised of the possibility of such damages. If you are dissatisfied with the Site, your sole and exclusive remedy is to discontinue using it. EN.DATAROOM.CO.IL’s total liability for all claims will not exceed $1.00 (one U.S. dollar).

11. Applicable law and dispute resolution

These Terms shall be governed by the laws of England and Wales, without regard to its choice of law rules. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the auspices of the London Court of International Arbitration (LCIA), in accordance with the LCIA Rules, which are hereby incorporated by reference.

12. End

Without prior notice and at any time, en.dataroom.co.il may terminate or suspend your use of the Site and remove any content you have submitted, if it believes that you have violated the Terms. In addition, it may discontinue the operation of the Site, in whole or in part, at any time and without notice. You acknowledge and agree that en.dataroom.co.il shall not be liable to you or to any third party for any suspension, termination or restriction of access pursuant to such measures.
